Terms of Use
Effective date: 4 May 2026
These Terms of Use form a binding agreement between you and Priya Agarwal (sole proprietor, operating as Notice Mitra). By creating an account, uploading a notice or otherwise using our services, you confirm that you have read, understood and agreed to these Terms.
1. Acceptance and eligibility
You may use the platform only if you are at least 18 years of age and competent to enter into a contract under the Indian Contract Act, 1872. By using the platform you represent that you meet these conditions and that the information you provide is true and accurate.
2. Definitions
- "Platform" means the website, mobile flows and WhatsApp channel of Notice Mitra.
- "Self-Serve plan" means the free service that provides an AI-generated notice summary, risk meter, documents checklist and AI draft reply, subject to the limits stated below.
- "CA-Vetted plan" means the paid service under which an empanelled practising Chartered Accountant reviews and signs off the reply for your specific notice.
- "Empanelled CA" means an independent practising Chartered Accountant who is empanelled with the platform and who provides professional services in their individual capacity in accordance with the Chartered Accountants Act, 1949 and the ICAI Code of Ethics.
3. Account and security
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must notify us immediately at contact@noticemitra.in if you suspect unauthorised access. We are not liable for losses arising from your failure to keep your password secure.
4. Self-Serve plan
- The Self-Serve plan is provided free of charge.
- It is limited to up to 3 free AI drafts per registered account. Once this limit is reached, you must move to the CA-Vetted plan to obtain further analyses or replies.
- Outputs on the Self-Serve plan are generated by artificial intelligence and are not reviewed by a Chartered Accountant. They are educational and informational in nature, and do not constitute legal, tax, accounting or other professional advice.
- You must independently verify all information generated and consult your own professional adviser before relying on any output or filing any reply with the income tax authorities.
5. CA-Vetted plan
- The CA-Vetted plan is a paid service. The exact fee for your notice is shown to you before payment is taken. Notice Mitra is currently not GST-registered (turnover below the registration threshold); accordingly, fees are not subject to GST and a payment receipt is issued on successful payment instead of a GST tax invoice.
- Once you pay, an empanelled practising Chartered Accountant is assigned to your matter. The CA will read the original notice and your supporting documents, edit the AI draft for accuracy and your specific facts, and approve the final reply for delivery to your dashboard.
- The CA's name and ICAI membership number are disclosed in your dashboard.
- The assigned CA will incorporate your feedback, where reasonably required, before the reply is finalised.
- The final reply is filed and signed by you, the taxpayer, on the income tax e-filing portal. We do not file replies on your behalf.
6. WhatsApp channel
You may upload a notice via our verified WhatsApp Business number. Messages and attachments sent through WhatsApp are subject to WhatsApp's own terms and privacy policy. We link WhatsApp uploads to your account based on your registered mobile number.
7. Fees, taxes and receipts
Fees are payable in advance through Razorpay. Notice Mitra is currently not GST-registered (turnover below the registration threshold); accordingly, fees are not subject to GST and a payment receipt is issued on successful payment in place of a GST tax invoice. Once Notice Mitra crosses the GST registration threshold and obtains a GSTIN, fees and invoicing will be updated accordingly and disclosed on this page. Fees may be revised from time to time and will apply to orders placed after the revision date.
8. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms. In summary, refunds apply where we are unable to take up your matter or where we fail to deliver within the committed timeline for reasons within our control. Dissatisfaction with a drafted reply is handled through the included revisions, not a refund.
9. Your obligations and warranties
You confirm and agree that:
- All information and documents you provide are true, accurate, complete and your own (or you are duly authorised to share them).
- You will not upload notices that are not addressed to you or to a person on whose behalf you are authorised to act.
- You will not use the platform to upload material that is unlawful, defamatory, fraudulent, infringing or otherwise objectionable.
- You will not attempt to reverse-engineer, scrape or otherwise misuse the platform or its content.
- Final responsibility for the accuracy of facts stated in any reply, and for filing it on the income tax e-filing portal, rests with you.
10. Intellectual property
All content on the platform, including the website design, logos, section guides, blog posts, calendars and software, is owned by or licensed to Priya Agarwal (sole proprietor, operating as Notice Mitra) and is protected by copyright, trade mark and other intellectual-property laws. You retain ownership of the documents you upload; you grant us a limited licence to use them for the purposes described in our Privacy Policy.
11. Disclaimer of warranties
The platform is provided on an "as-is" and "as-available" basis. We do not warrant that any reply prepared on the platform will be accepted by the income tax authorities or will result in any specific outcome. The platform is a technology service and is not a firm of Chartered Accountants. Detailed disclaimers are set out on the Disclaimer page, which forms part of these Terms.
12. Limitation of liability
To the maximum extent permitted by applicable law, our total aggregate liability to you in connection with the platform — whether in contract, tort, statute or otherwise — is limited to the fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, data or goodwill.
13. Indemnity
You agree to indemnify and hold harmless Priya Agarwal (sole proprietor, operating as Notice Mitra), its directors, employees, empanelled CAs and service providers from and against any claims, damages, losses, costs and expenses (including reasonable legal fees) arising out of or connected with (a) your breach of these Terms, (b) your violation of applicable law, or (c) information or documents supplied by you that are false, misleading or in breach of any third-party right.
14. Termination
You may close your account at any time by writing to contact@noticemitra.in. We may suspend or terminate your access to the platform if you breach these Terms, misuse the service, or where required by law. Termination does not affect rights and obligations that, by their nature, survive termination (including fees due, indemnities and limitations of liability).
15. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, internet or telecom outages, or failures of third-party service providers including payment processors, cloud providers and AI/ML providers.
16. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to Section 17, the courts at Jaipur, Rajasthan shall have exclusive jurisdiction to entertain any dispute, claim or matter arising out of or in connection with these Terms or the platform.
17. Dispute resolution
Before filing any suit, you agree to first raise the matter with our Grievance Officer at contact@noticemitra.in. If the dispute is not resolved within thirty (30) days, the parties shall attempt mediation in good faith. Failing resolution by mediation, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Jaipur and the language English.
18. Changes to these Terms
We may update these Terms from time to time. The "effective date" at the top of this page indicates when the latest version became effective. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
19. Miscellaneous
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
- These Terms, together with the Privacy Policy, the Refund Policy and the Disclaimer, constitute the entire agreement between you and us in relation to the platform.
- You may not assign these Terms without our prior written consent. We may assign or transfer our rights and obligations to an affiliate or successor.
- Notices to us must be in writing and sent to contact@noticemitra.in. Notices to you may be given by email to your registered email address or through the in-app dashboard.
